Terms of Use

Effective October 27, 2026Applies to otrml.com, the Docs, the desktop app and app.otrml.comSee also the Privacy Policy

01Acceptance

In shortUsing any part of Omega means you agree to these terms. Section 25 sends most disputes to individual arbitration instead of court.

Please read these Terms carefully. Section 25 contains a binding individual arbitration agreement, a class action waiver and a jury trial waiver. It affects how disputes between you and us are resolved. You can opt out of arbitration within 30 days, as Section 25 explains.

These Terms of Use ("Terms") are a binding agreement between you and Omega Research and Technologies ("Omega", "we", "us" or "our"). They govern your use of the Services described in Section 2.

You accept these Terms when you click to accept them, create or use an account, download, install or use the Software, or keep using the Website after the notice shown on your visit. When we ask you to accept these Terms by clicking a button or checking a box, we keep a record of the version you accepted and when. If you do not agree, do not use the Services.

Some features come with additional terms that we show you before you use them, such as the terms for an Academy course purchase or for turning off order approvals. Those terms become part of these Terms. If they conflict with these Terms, the additional terms control for that feature.

Our Privacy Policy explains how we handle personal information. It is part of these Terms.

If you use the Services for a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.

02The services

In shortOmega is software. These terms cover all of it, including features that are not out yet.

"Services" means all of the following, and every update to them:

  • the Website: otrml.com;
  • the Docs: docs.otrml.com, including any assistant that answers questions about the Docs;
  • the Software: the Omega Terminal desktop app for Windows and macOS, and the members' web app at app.otrml.com;
  • the features inside them, including charts, studies, scanners, alerts, order entry, shared charts and desks, messaging, voice and screen sharing, the social feed, the strategy language, the Builder, backtests, automated strategies and the AI assistant;
  • connections to brokers, trading venues, data providers and wallets (Sections 9, 11 and 13);
  • upcoming features once we release them, including the Omega MCP server, Omega data feeds, crypto wallet and swap features, and Omega Academy.

We may add, change, limit or remove features at any time. The Services are offered mainly to users in the United States. Some features, connections and instruments are not available everywhere.

03Eligibility

In shortYou must be an adult who can sign a contract and who is allowed to use the Services where you are.

To use the Services you must:

  • be at least 18 years old and old enough to form a binding contract where you live;
  • not be barred from the Services by any law that applies to you, including the sanctions laws in Section 27;
  • use the Services, and trade the instruments you trade, only where that is lawful for you.

The Services are not directed to anyone under 18. Access to the Software is by invitation, and we may decline or limit access at our discretion.

04Not financial advice

In shortNothing we provide is advice or a recommendation. You make every trading decision yourself.

Nothing in the Services is financial, investment, trading, legal, tax or accounting advice. Nothing in the Services is a recommendation, offer or solicitation to buy, sell or hold any security, option, future, event contract, digital asset or other instrument, or to follow any strategy.

Software, not an adviser or a broker

Omega provides software for market analysis, research, education and order entry. We do not act as your broker, investment adviser, commodity trading advisor, futures commission merchant, introducing broker, exchange, trading venue, custodian, money transmitter or fiduciary. We do not hold your money, securities or digital assets. Every account you connect is self-directed: we do not manage it, monitor it for suitability or decide what to trade in it. No advisory, brokerage, fiduciary or similar relationship is created by your use of the Services.

General information only

Charts, levels, regimes, odds, probabilities, fair values, readings of the hedge field or of positioning, scanner results, alerts, strategy outputs, backtests, examples, course material and anything an assistant writes are general information. It is produced by software, or by people who do not know you. It is the same for everyone who sees it and is not tailored to your financial situation, objectives, experience or tolerance for risk. It can be incomplete, delayed or wrong. A number shown to several decimal places is still an estimate. It describes what was computed or what someone thinks, not what will happen, and it is not a signal to trade.

The Website's illustrations

The animations and mock windows on the Website illustrate the Software's interface. They may use recorded or simulated market data. The prices, positions, orders, fills and results they show are examples. They are not live, they are not a record of any real account, and they say nothing about results you would get.

Your decisions are yours

You alone decide whether to trade, what to trade, how much and when, and you are solely responsible for those decisions and their results. Before you make a financial decision, consider getting advice from a licensed professional who knows your circumstances. Past performance, real or hypothetical, does not guarantee future results.

No guarantees

We do not promise or suggest that using Omega will make you money, reduce your losses or improve your trading. Statements about what the Services do describe features, not outcomes.

05Risk disclosure

In shortTrading can lose a lot of money, sometimes more than you put in. Read this before you trade anything.

Trading involves substantial risk of loss and is not suitable for everyone. You can lose some or all of the money you put at risk, and with some instruments and strategies you can lose more than you deposit. Only trade with money you can afford to lose. Read the risk disclosures your broker or venue gives you before you trade any instrument.

  • Options. Options can expire worthless and can move much faster than the underlying. Selling options can produce losses far larger than the premium received. Options can be assigned early, and the legs of a spread can fill unevenly. Before trading options, read Characteristics and Risks of Standardized Options, which your broker must provide.
  • Futures. Futures are leveraged. A small move in price can produce a large loss, and losses can exceed your deposit. Markets can hit price limits that stop you from exiting.
  • Leverage and margin. Borrowing magnifies gains and losses. Your broker can raise margin requirements, issue margin calls and close your positions without asking you, at prices you would not choose.
  • Prediction markets and event contracts. Event contracts can settle at zero. Prices can move abruptly near settlement, and liquidity can disappear. Each venue decides outcomes under its own rules. It can change a contract's reference source, reverse an outcome it finds was an obvious error, and settle a contract early or at an earlier price when something unexpected happens, and its decision is usually final. We have no say in any of this. Availability depends on where you live.
  • Digital assets, DeFi and perpetuals. Digital assets are highly volatile and trade around the clock. Leveraged perpetual contracts can be liquidated quickly, and funding and fees add up. Section 13 lists further risks of crypto features.
  • Prop firm programs. Evaluation and funded-account programs, such as TopstepX, have their own rules on daily loss, drawdown, position size and conduct. The Software can display or help track those rules but cannot guarantee you follow them, and a breach can end your account with that firm.
  • Day trading. Frequent trading increases costs and exposure to fast markets, and may be subject to pattern day trading rules and account minimums.
  • Automated trading. Strategies you build, backtest or deploy can behave differently live than in testing. Defects, data errors, delays, dropped connections and venue outages can cause missed, late, duplicated or unintended orders. Section 10 applies.
  • Orders managed by the Software. Some order types and triggers, such as brackets, trailing stops and conditional orders, may be held and triggered by the Software rather than by your broker. If the Software, your computer, your connection or our servers stop, those orders may not trigger, or may trigger late.
  • Gaps and liquidity. Prices can gap past your stop, and a stop order does not guarantee a price. In thin or fast markets you can be filled far from the price you saw.
  • Technology. Internet connections, computers, brokers, data vendors, blockchains and exchanges fail. Quotes and fills may be delayed. The Services can be slow or unavailable during heavy market activity, which is often when you need them most.

06Hypothetical results

In shortBacktests and simulations are not real trading. Real results are usually worse.

Backtests, simulations, replays, paper trading, strategy statistics and any other hypothetical figures shown in the Services, on the Website or in Academy material are subject to the following:

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.

Hypothetical trading also involves no financial risk, and no hypothetical record can fully account for the effect of real risk, such as the ability to keep following a strategy through losses. Backtests in particular can assume that every order filled in full at the price shown, ignore your place in the queue, liquidity and the effect of your own orders on the market, and leave out or misstate commissions, fees, slippage, borrowing costs and taxes. They can also use historical data that contains errors or differs from the live feed you trade on. Any of these can change results materially. A strategy that looks good on past data may have been fitted to that data and may fail on new data.

07Accounts and security

In shortKeep your login, codes and keys to yourself. You are responsible for everything done through your account.

  • Invitation and seats. Accounts are by invitation and seats are limited. Each account is for one person.
  • Accurate information. Give us accurate information and keep it current.
  • Sign-in security. Sign-in requires your password and a code from an authenticator app. Keep your password, authenticator, recovery codes, API keys and devices secure. Do not share them or your account.
  • API keys and devices. Platform API keys let the desktop app and other tools act as you. A key may be tied to the device it was created on. Treat every key like a password and revoke any key you no longer use or think is exposed.
  • Your responsibility. You are responsible for all activity under your account, including activity through your API keys, connected devices, deployed strategies and any MCP client or AI tool you connect, whether or not you authorized it, unless it results from our failure to use reasonable security. We may treat any instruction that reaches us through your account, keys, devices or connected tools as given by you. If you give your credentials or keys to anyone else, including a third-party tool, you are responsible for what they do with them.
  • Tell us. Email legal@otrml.com promptly if you think your account, keys or a connected provider account has been used without permission.
  • Our controls. We may require you to verify your identity, re-authenticate, rotate keys or change your password, and we may suspend access to protect you, other users, the Services or the markets.

08Subscriptions and billing

In shortPaid plans renew monthly until you cancel. Cancelling stops the next charge. We do not refund partial months unless the law requires it.

  • Plans and prices. We describe each plan and its price before you buy. Omega Academy courses and some other offerings may be sold separately, with their own price and terms shown at purchase.
  • Automatic renewal. Your subscription renews automatically every month, and we charge your payment method the then-current price at the start of each billing period, until you cancel. Before you subscribe, we show you the price, how often you will be charged, that the plan renews automatically and how to cancel, and we ask you to agree to automatic renewal. After you subscribe, we send you a confirmation with the same information. We also send a reminder at least once a year with your plan, its price and how to cancel. If you buy a plan that lasts 12 months or longer, we remind you 30 to 60 days before it renews.
  • Cancel anytime. You can cancel online in your account settings at any time, without having to contact anyone, or by emailing legal@otrml.com from your account email. If we offer you something to stay, the option to finish cancelling stays on screen. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • No partial refunds. Payments are non-refundable, and we do not give refunds or credits for partial periods, unused time or unused features, except where the law requires it. We may choose to give a refund in a particular case without being obliged to do so again.
  • Price changes. We will tell you about a price increase by email or in the Software 30 days before the renewal at which it first applies, with instructions for cancelling. The new price never applies to a period you have already paid for. If you do not want to pay it, cancel before that renewal.
  • Trials and promotions. If we offer a free trial or promotional price, we will show its terms when you sign up. If a trial converts to a paid plan, we will tell you when you sign up, and we will charge you when the trial ends unless you cancel before.
  • Taxes. Prices do not include taxes unless we say so. You pay any sales, use or similar taxes that apply.
  • Payment processing. Payments are handled by a third-party payment processor, which stores your card details under its own terms. You authorize us and our processor to charge your payment method for all fees you owe. Keep your payment information current.
  • Failed payments. If a payment fails, we may retry it and may suspend paid features until it succeeds.
  • Chargebacks. If you think a charge is wrong, contact us first and we will look into it. If you dispute a valid charge with your bank, we may suspend your account while the dispute is open, and you lose eligibility for any refund we would otherwise give at our discretion.
  • Other costs. Your subscription does not include commissions, exchange, market data or regulatory fees charged by your broker or data providers, blockchain network fees, or swap fees (Section 13). Those are your responsibility.

09Brokers, venues and orders

In shortYour broker holds your account and executes your orders. We pass along your instructions, and you check every order.

Connecting accounts

You can connect accounts at brokers, futures and prop firm platforms and prediction market venues, including Charles Schwab, Webull, Interactive Brokers, TopstepX (through ProjectX), Kalshi and Polymarket US. You connect either with API keys or app credentials that you obtain from the provider yourself ("bring your own key"), or by linking an account through SnapTrade, where you sign in to your broker on SnapTrade's own page under SnapTrade's terms.

When you connect an account, you:

  • confirm the account is yours or that you are authorized to use it, and that connecting it does not breach the provider's terms;
  • are responsible for obtaining, securing, renewing and revoking your own keys and apps, and for following the provider's developer or API terms, rate limits and rules;
  • authorize us to access, retrieve and store information from that account, and to send the instructions you give, or a strategy you deploy gives, to the provider on your behalf.

Providers can change, limit or end access at any time, which can break a connection without warning. Unless we say otherwise, these providers are not affiliated with us and do not endorse Omega. Their names and marks belong to them.

Orders

We do not execute orders. Orders go to the broker or venue you connect, under your account with them and their terms. Execution, routing, fills, margin, settlement, custody and account statements are the responsibility of your broker or venue, and their records control, including their records of when an order was received and at what price it filled. On any question about your account or an order, your broker's or venue's agreement and rules control over these Terms.

We never exercise discretion over your accounts. An order is sent only when you confirm it, or under rules you configured and deployed in a strategy. You are responsible for every order sent from your account through the Services. That includes orders you place by hand, from the chart or with hotkeys, orders your deployed strategies send, and orders the AI assistant stages that you confirm. Review every order before you send it.

A request to cancel or change an order is not guaranteed: the order can fill before the request reaches your broker. Check your broker's confirmations and statements, and report any order you did not intend to your broker, and to us if the Services were involved, promptly and no later than 5 business days after it happened. Delay can make a loss impossible to correct.

Keep another way to reach your broker, such as its own app, website or trading desk, for times when the Services or your connection fail. If you rely only on Omega, you accept that risk.

We may limit request rates, or pause or end connections, automation, API access or MCP access at any time, including for excessive use or to protect a provider, a market or the Services. Providers can do the same.

We are not responsible for orders a broker or venue rejects, delays, fills partially or fills at a different price than displayed. We are not responsible for missed, late, duplicated or unintended orders caused by connectivity, software defects, data errors, provider outages or your settings, to the extent Section 23 allows. Positions, balances and profit and loss shown in the Services may lag or differ from your provider's records. Your provider's platform shows the authoritative state of your account.

Closing your Omega account or disconnecting a provider does not cancel orders or close positions already at your provider. Manage them directly with your provider.

10Automated strategies

In shortStrategies do exactly what they are told, mistakes included. You build them, you deploy them and you watch them.

  • What they are. The strategy language and the Builder let you write, configure, backtest and deploy strategies that generate orders automatically. Depending on the feature, a strategy runs on your computer or on our servers.
  • Approvals and limits. By default, an automated order waits for your approval, in the Software or by text message, before it is sent. The Services also offer a kill switch and limits on orders per hour, order value and open orders. These are safeguards, not guarantees. They can fail or be bypassed by events outside our control, and they do not replace your own supervision.
  • Turning approvals off. If you turn approvals off, orders your strategies generate are sent without asking you first, and you accept full responsibility for every one of them. We may ask you to accept additional terms before you can turn approvals off.
  • Supervision. Monitor every strategy you deploy. Keep a way to cancel orders and close positions directly with your broker in case the Services are unavailable. Turning a strategy off stops new orders; it does not cancel orders already sent.
  • Order patterns. You are responsible for every pattern of orders your strategies, MCP clients or AI tools produce, including any that amounts to spoofing, layering, wash trading or another prohibited practice, whether or not you intended it.
  • Others' strategies. Templates, examples and strategies published by other members are not reviewed or endorsed by us. Test anything before you rely on it.
  • Our right to stop a strategy. We may pause or stop any strategy, without notice, if it appears to malfunction, threatens the Services, a provider, a market or other users, or breaks these Terms. We have no duty to do so, and we are not liable for losses or missed trades caused by a pause or stop, to the extent Section 23 allows.

11Market data

In shortData can be wrong or late, and you cannot pass it on to anyone else.

  • Sources. Market data in the Services comes from your own brokers, data providers and venues, or from third parties we license, including Omega data feeds once available. We do not guarantee that any data is accurate, complete, timely or in sequence. Different features can use different sources and timings, so values can differ between charts, scanners, backtests, alerts and your broker.
  • Entitlements. Some data requires you to sign an exchange or vendor subscriber agreement and to state whether you are a professional or non-professional user. Your statement is a continuing promise: check it when your circumstances change and tell us at once if it stops being true. Your status can change what you pay. If your status was wrong, you owe any fee difference from the date it changed, and Section 24 covers any claim that results. We may share your identity, status and usage with exchanges and data vendors when their licenses require it.
  • Automated use of data. Exchanges can treat using data to drive automated decisions or orders as a separately licensed "non-display" use. Make sure your data agreements cover how you use data, including in strategies you deploy.
  • Personal use only. Data you receive through the Services is for your own use. You may not redistribute, resell, publish, rebroadcast or share it, including through screenshots, streams, shared charts, APIs, bots, MCP clients or other services, except as the data provider's terms expressly allow.
  • Shared charts. Sharing a chart or a desk shares drawings, cursors and layouts, not data. Each participant must use their own data feed. Do not use sharing to give anyone data they are not entitled to. A shared chart image shows prices, so share one only where your data provider's terms allow it.
  • Recording. If you turn on a feature that records market data on your device or sends it to us, you confirm that your data agreements allow it.
  • Providers' rights. Data providers and exchanges may enforce these restrictions directly. They are not liable to you for the data.

12AI features

In shortThe assistant can be wrong, so check what it says. Nothing it stages is sent until you confirm it.

  • What they are. AI features include the in-app assistant, help in the Builder, the Docs assistant once available, and other features that generate text or analysis.
  • You are talking to an AI. AI features are labeled, so you know when an answer comes from an AI rather than a person.
  • Outputs can be wrong. AI output can be inaccurate, incomplete, out of date or not unique to you, and it can sound precise or confident and still be wrong. It is not advice and is not a recommendation (Section 4). Check it yourself before you rely on it.
  • No personal recommendations. AI features give general information. They are not designed to tell you what to buy, sell or hold given your own circumstances, and you must not treat their output as if they did.
  • Staged orders. The assistant can stage an order for you. A staged order is never sent to your broker until you review and confirm it. Once you confirm it, it is your order.
  • What gets sent. To answer you, we send your messages and context from the Software to our AI provider, currently Anthropic. That context can include screenshots of the app window and whatever is on screen. Do not share anything you do not want processed this way. The Privacy Policy has the details.
  • No training on your content. We do not use your inputs or outputs to train AI models.
  • Fair use. Usage limits apply. Do not use AI features to produce unlawful or harmful content, to try to extract our prompts, models or other users' data, or in breach of our AI provider's usage policies.
  • Ownership. As between you and us, you own the output generated for you, subject to these Terms. Others may receive similar output.

MCP server

When available, the Omega MCP server will let you connect third-party AI applications ("MCP clients") to your account. An MCP client acts on your instructions with the access you grant it. Information it retrieves leaves the Services and is handled by that application's provider under its own terms, and we are not responsible for it. You are responsible for which clients you connect, the access you grant, and everything a connected client does, including any orders it prepares. We treat a connected client's instructions as yours. You can revoke access at any time; revoking stops future instructions but does not undo orders or actions already sent. We may limit what MCP clients can do.

13Crypto features

In shortThese are coming. When they launch, we never hold your keys or funds, every transaction is final, and crypto can lose its value fast.

These features are not available yet. This Section applies once they are.

  • Read-only wallet connections. You may connect a wallet by entering a public address or through WalletConnect (Reown). A read-only connection lets the Services show balances and activity. It cannot move funds. Blockchain data is public.
  • Non-custodial swaps. Swaps are quoted and routed through third-party aggregators, such as Jupiter and 0x, and executed by smart contracts on public blockchains. We never hold your private keys, seed phrases or funds, and we never take custody of your digital assets. You review and sign every transaction in your own wallet, and only you can authorize it. Neither we nor any AI feature can sign for you; at most, an AI feature can prepare a transaction for you to review.
  • Final and irreversible. Blockchain transactions cannot be cancelled, reversed or refunded by us or anyone else. Check the token, amount, network and receiving address before you sign. Tokens sent on the wrong network can be lost for good.
  • Quotes. A quote is an estimate. The amount you receive can differ because prices move between quote and execution, within the slippage limit you set. If the price moves past your limit, the swap can fail.
  • Fees. We charge a per-swap fee. It is included in the quote and shown as an amount or a percentage before you sign. You also pay network fees, and aggregators or liquidity sources may charge their own fees. A failed transaction can still cost network fees. If we ever receive a payment from an aggregator, liquidity source or other third party in connection with your swap, beyond our own fee, we will disclose it before you sign.
  • Your keys. We will never ask for your seed phrase or private key, or ask you to "verify" or "sync" your wallet by message, email, phone or social media. Anyone who does is not us. Do not keep your recovery phrase in screenshots, email or cloud notes.
  • Risks. Using crypto features exposes you to risks that include: smart contract bugs and exploits; failures of DeFi protocols, bridges and aggregators; scam tokens and "rug pulls" (we do not review or vouch for any token); slippage and price impact; front-running, sandwich attacks and other forms of MEV; network congestion, outages, forks and halted chains; failures of bridges and price oracles; stablecoins losing their peg, or being frozen or burned by their issuer; wallet software defects; phishing; and lost keys. Laws on digital assets can change and can affect availability or value.
  • Sanctions and screening. We may screen wallet addresses and refuse to quote or route a transaction for any address linked to sanctioned persons, stolen funds or other illicit activity. You may not use crypto features to evade sanctions or any law.
  • Taxes. You are responsible for reporting and paying any taxes on your transactions. We do not provide tax reporting unless we say so.
  • Availability. We may limit which tokens, chains or features are available, and some may not be available where you live.

14Omega Academy

In shortThe Academy teaches. It does not advise you, and the instructors' views are their own.

  • Purchases. Academy courses are sold separately. The price, what is included and the refund terms are shown at purchase, and they control for that course.
  • Education only. Courses are taught by professional traders who share their own views and methods. Instructors do not know your circumstances and do not act as your advisers. Their past results, real or hypothetical, do not predict yours. Instructors may hold positions in instruments they discuss. Sections 4 to 6 apply to all Academy material.
  • Your licence. Your access is personal and non-transferable. Do not record, copy, share, resell or publish course content. Access may end if your account ends, subject to the refund terms of your purchase.
  • Live sessions. Live sessions may be recorded. If you take part, your name, voice and messages may appear in recordings that other students can watch.

15Your content and sharing

In shortWhat you make stays yours. You let us host it so the Services work, and what you share, others can see.

  • Your Content. "Your Content" means what you create or submit in the Services, such as strategies, scripts, layouts, drawings, watchlists, screeners, alerts, notes, messages, attachments, posts, images and prompts. You keep ownership of it.
  • Licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and adapt Your Content only as needed to operate, secure, support and improve the Services and to comply with law. The licence ends when you delete Your Content, except for backup copies kept for a limited time, content you already shared with others, and copies we must keep by law.
  • Sharing. Some features share Your Content with other members. Shared desks show your drawings, cursors and messages to participants. Messages and attachments go to the people you send them to. A shared chart image creates a link that anyone who has it can open. The social feed is off unless you turn it on; when it is on, it shows other members the symbol, side, price and time of your fills, but not your size or profit and loss. Published strategies and community screeners can be viewed, copied and used within the Services by other members, with your username shown. Unless you choose another, your username is the part of your email address before the "@". You give other members a licence to use what you share for their personal use within the Services. Once shared, others may keep copies.
  • Your responsibility. You confirm you have the rights to Your Content and that it does not break any law, these Terms or anyone else's rights. Do not share market data you are not allowed to share, confidential information or other people's personal information without permission.
  • Removal. We do not review Your Content before it is posted, but we may remove or restrict access to any of it that we believe breaks these Terms or the law.
  • Feedback. If you send us ideas or feedback, we may use them without restriction or payment to you.

16Acceptable use

In shortUse Omega for your own lawful trading and research. Do not abuse it, copy it or use it against the markets or other people.

You agree not to:

  • break any law, rule or regulation, or the rules of any exchange, venue, broker or prop firm;
  • manipulate markets, including spoofing, layering, wash trading, marking the close or front-running, or use the Services to trade on material non-public information;
  • trade an event contract on an outcome you can influence, or on non-public information about it;
  • copy, resell, sublicense, rent or share access to the Services, or share your keys or invite codes publicly;
  • reverse engineer, decompile, disassemble or try to extract the source code, models, prompts or server responses of the Services, except where the law expressly allows it;
  • scrape, crawl or harvest the Services, or access them by automated means other than the APIs and tools we provide;
  • probe, scan or test the Services' security, or bypass any authentication, rate limit, trading limit, approval or other safeguard;
  • interfere with or overload the Services, or upload malware or harmful code;
  • redistribute market data (Section 11);
  • harass, threaten, defame, spam or impersonate anyone, or post unlawful, infringing or sexually explicit content;
  • collect other users' personal information without their permission;
  • use the Services to build a competing product, or to train AI models on the Services' outputs, except with our written permission;
  • use the Services where they are prohibited, or to reach venues or products you are not allowed to use from where you are, including by using a VPN or proxy to hide your location;
  • use the Services to launder money, finance terrorism or evade sanctions.

17Our intellectual property

In shortThe software and everything in it belong to us. You get a personal licence to use it while you have access.

  • Ownership. The Services, including the Software, models, studies, designs, the strategy language and its runtime, the Docs and Academy content, belong to Omega or its licensors and are protected by law.
  • Your licence. While you have access and follow these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install the Software on devices you control and to use the Services for your own trading, research and education. We reserve all rights not expressly granted.
  • Trademarks. "Omega Terminal", "Omega Academy" and our logos are our trademarks. Do not use them without our permission. Other names and marks belong to their owners.
  • Open source. The Software includes open-source components that are licensed under their own terms. Those terms control for those components.

18Copyright complaints

In shortIf you think something in the Services infringes your copyright, tell our copyright agent and we will look at it.

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. To file a notice, send our copyright agent a written notice that includes:

  • your physical or electronic signature;
  • identification of the copyrighted work you claim is infringed;
  • identification of the material you claim is infringing and where it is in the Services;
  • your name, address, phone number and email;
  • a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law;
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

Copyright Agent: Omega Research and Technologies, legal@otrml.com.

If your content was removed and you believe it was a mistake or misidentification, you may send our copyright agent a counter-notice that includes:

  • your physical or electronic signature;
  • identification of the material that was removed and where it appeared before removal;
  • a statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake or misidentification;
  • your name, address and phone number, and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which we may be found) and will accept service of process from the person who sent the original notice.

We end the accounts of repeat infringers in appropriate circumstances. Anyone who knowingly misrepresents that material is infringing, or was removed by mistake, may be liable for damages.

19Third-party services

In shortWe rely on other companies. We do not control them and are not responsible for them, and your disputes with them are yours.

The Services work with third parties we do not control, including brokers, trading venues, prop firms, SnapTrade, exchanges and data vendors, AI providers, wallet software, WalletConnect (Reown), swap aggregators, blockchains, payment processors, and hosting and network providers. Your use of a third-party service is governed by its own terms and privacy policy, and your relationship with it is between you and it. We are not responsible for third-party services, including their availability, accuracy, security, conduct, fees or changes, or for security incidents at them. Links to third-party sites are for convenience only and are not endorsements.

Disputes with others

A dispute between you and a broker, venue, data provider, wallet, aggregator, other third party or another member is between you and them. To the extent the law allows, you release Omega from claims arising from such a dispute. If you live in California, you waive California Civil Code section 1542, which would otherwise keep a general release from covering claims you do not know or suspect exist when you agree to it. You also waive any similar law of another state.

20Beta and upcoming features

In shortNew features may be rough, may change and may go away.

Features we label as beta, early access, experimental or coming soon, and features we describe before they launch, may be incomplete, contain errors, change or be withdrawn at any time. They are provided without any commitment to availability or support, and we may show you additional terms for them. Do not rely on them for anything important. Everything in these Terms that limits our responsibility applies to them in full.

21Privacy and cookies

In shortThe Website sets no cookies and tracks nothing. The Privacy Policy explains what the app collects and why.

Our Privacy Policy describes what we collect, how we use and share it, and your choices and rights.

This website sets no cookies, no analytics and no advertising trackers. It uses your browser's session storage only to remember that you have seen the visit notice and, in the Docs, which menu sections you opened; both are cleared when you close the browser. There is no sign-up form on the website yet.

The Software uses cookies that are needed to keep you signed in and to remember basic preferences, and it stores settings on your device. The cookies section of the Privacy Policy lists them. If we add non-essential cookies or analytics, we will update the Privacy Policy first and ask for your consent where the law requires it.

22Disclaimer of warranties

In shortWe provide Omega as it is. We do not promise it will be accurate, always available or free of errors.

THE SERVICES, AND ALL DATA, CONTENT, AI OUTPUT AND OTHER MATERIAL IN THEM, ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, OMEGA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DATA OR OUTPUT WILL BE ACCURATE, COMPLETE OR IN SEQUENCE, THAT ORDERS WILL BE TRANSMITTED OR EXECUTED, OR THAT DEFECTS WILL BE CORRECTED.

Some places do not allow the exclusion of implied warranties. Where that is the case, the exclusions above apply as far as the law allows, and any implied warranty lasts only as long as the law requires.

Events beyond our control

We are not responsible for any failure or delay caused by events beyond our reasonable control. These include natural disasters, pandemics, fire, flood, power or internet failures, cyberattacks, failures or outages of brokers, exchanges, data vendors, blockchains, AI providers or hosting providers, trading halts, market disruptions, labor disputes, war, terrorism, and acts or orders of government.

23Limitation of liability

In shortWe are not responsible for your trading losses. If we are ever liable, it is capped at what you paid us in the last three months, or $50 if that is more.

TO THE FULLEST EXTENT THE LAW ALLOWS, OMEGA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, LICENSORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF OPPORTUNITY, LOSS OF DATA OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

WITHOUT LIMITING THE PARAGRAPH ABOVE, TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR LOSSES ARISING FROM: YOUR TRADING DECISIONS OR ANY TRADE; MISSED, LATE, PARTIAL, DUPLICATED, REJECTED OR UNINTENDED ORDERS; THE BEHAVIOR OF ANY STRATEGY, AUTOMATION, MCP CLIENT OR AI TOOL; ERRORS, DELAYS, GAPS OR DIFFERENCES IN DATA; OUTAGES, SLOWDOWNS OR INTERRUPTIONS OF THE SERVICES, INCLUDING DURING SCHEDULED OR EMERGENCY MAINTENANCE, MARKET VOLATILITY OR PEAK DEMAND; SOFTWARE DEFECTS; CYBERATTACKS; THE ACTS, OMISSIONS OR FAILURES OF BROKERS, VENUES, PROP FIRMS, DATA PROVIDERS, AI PROVIDERS, WALLETS, AGGREGATORS, BRIDGES, BLOCKCHAINS OR OTHER THIRD PARTIES; AI OUTPUT; DIGITAL ASSET TRANSACTIONS; UNAUTHORIZED ACCESS THROUGH YOUR CREDENTIALS, KEYS, DEVICES OR CONNECTED TOOLS; OR SECURITY INCIDENTS AT THIRD PARTIES.

TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50).

These limits apply even if a remedy fails of its essential purpose. Our prices reflect them, and we would not offer the Services without them. They do not limit liability that cannot be limited under applicable law, such as liability for fraud, or for gross negligence or intentional misconduct where the law does not allow it to be limited. Some places do not allow the exclusion or limitation of certain damages. Where that is the case, these limits apply as far as the law allows.

24Indemnity

In shortIf your use of Omega gets us sued, you cover the cost, unless the problem was our own fraud or serious misconduct.

To the fullest extent the law allows, you will defend, indemnify and hold harmless Omega and its owners, officers, employees, contractors, instructors, licensors and suppliers from any claims, losses, liabilities, damages, fines, costs and expenses (including reasonable attorneys' fees) arising from or related to: your use of the Services; your trading and any order sent from your account; strategies you build or deploy; actions we take on your instructions; anyone you let use your account, credentials, keys or connected tools; your connections and MCP clients; Your Content; your digital asset transactions; your professional or non-professional status; your redistribution of market data; your breach of these Terms; or your violation of any law or anyone else's rights. This does not apply to the extent a claim results from our own fraud, gross negligence or willful misconduct. We will tell you about a claim promptly. We may take control of the defense of any claim at your expense, and you will cooperate with us. You may not settle a claim that affects us without our written consent.

25Arbitration and class waiver

In shortIf we have a dispute, we first spend 60 days trying to work it out. If we cannot, it goes to individual arbitration with the AAA, not to court and not as a class. You can opt out within 30 days.

Please read this Section carefully. It requires you and us to resolve most disputes by binding individual arbitration, and it limits how you can seek relief from us.

Try to resolve it first

Before starting arbitration or a court case, the party with a claim must send the other a written notice. A notice from you must include your name, your account email, a description of the claim, the relief you want and a good-faith estimate of its amount, and it must be signed by you personally, even if a lawyer is helping you. Send it to legal@otrml.com; we will send ours to the email on your account. For 60 days after a complete notice is received, both of us will try in good faith to resolve the dispute, including by a phone or video call if either of us asks. Time limits for bringing the claim are paused from when a complete notice is sent until those 60 days end. Neither of us may start arbitration before then, and an arbitrator may pause a case that was started too early.

Agreement to arbitrate

Except as stated below, any dispute, claim or controversy between you and us arising from or relating to these Terms, the Services or our relationship ("Dispute") will be resolved by binding individual arbitration, and not in court. This includes Disputes about the scope or enforceability of this agreement to arbitrate, which the arbitrator decides, except that a court decides the enforceability of the class action waiver below. The Federal Arbitration Act governs this Section. The arbitrator must follow these Terms, including Section 23, and applicable law.

How arbitration works

  • Rules. The American Arbitration Association ("AAA") administers the arbitration under its Consumer Arbitration Rules in effect when the arbitration is filed, as modified by this Section. If the AAA is unavailable, the parties will agree on another arbitration provider, or a court will appoint one.
  • Fees. You pay no more than the filing fee that the AAA's consumer rules assign to you. We pay the rest of the AAA's filing, administration and arbitrator fees, unless the arbitrator finds that your claim was frivolous or brought for an improper purpose, in which case the AAA's rules decide who pays. Each party pays its own lawyers, unless a statute or the AAA's rules allow the arbitrator to award fees.
  • Place. The arbitration takes place in the county where you live, or by video, phone or written submissions if you prefer. If the law of the state where you live does not allow a claim to be arbitrated under Florida law or outside that state, the arbitration will apply that state's law or take place there, as that law requires.
  • Awards. The arbitrator may award the same individual relief a court could award, but only to you individually and only to the extent needed to resolve your individual claim. An award decides only the case it is made in and binds no one who was not a party to it.

Mass filings

If 25 or more demands raising similar claims are filed by, or with help from, the same or coordinated lawyers or organizations, the AAA's Mass Arbitration Supplementary Rules and its fee schedule for mass filings apply. Each demand must be signed by the claimant and by any lawyer representing them, confirming that, after reasonable inquiry, its facts are true and its claims are not frivolous. The parties will ask the AAA to administer the demands in batches of up to 100, with one arbitrator for each batch, to the extent the AAA's rules allow. Time limits are paused for every claim in a mass filing from when the first demand is filed until that claim is resolved. If the AAA or a court decides that any part of this paragraph cannot be enforced, that part drops out and the rest of this Section still applies.

Exceptions

Either of us may bring an individual claim in small claims court if it qualifies and stays there. Either of us may also go to court to stop the actual or threatened infringement or misuse of intellectual property, or unauthorized access to the Services.

Class action and jury trial waiver

YOU AND WE EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL. If a court decides that this class action waiver cannot be enforced for a particular claim or remedy, such as a claim for public injunctive relief, then that claim or remedy, and only that one, will be decided in court after any individual arbitration is finished, and the court case will be paused until then. It will not be decided in arbitration.

Opting out

You can opt out of this agreement to arbitrate by emailing legal@otrml.com within 30 days after you first accept Terms that include this Section. Send it from your account email with the subject line "Arbitration opt-out", and include your name and a clear statement that you are opting out. Each person must opt out for themselves; an opt-out sent by someone else for a group of people is not valid. Opting out does not affect the rest of these Terms. If you opt out, Disputes will be decided by the courts named in Section 26.

Changes to this Section

If we make a material change to this Section, you may reject it by emailing legal@otrml.com within 30 days after the change takes effect, in which case the version you last accepted continues to apply. A change never applies to a Dispute that one of us gave notice of before the change.

Time to bring a claim

To the extent the law allows, any claim by you or by us must be brought within one year after it arises, or it is permanently barred.

26Governing law and venue

In shortFlorida law applies. Any court case that is not arbitrated happens in Florida.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 25. Any Dispute that is not arbitrated will be decided only by the state and federal courts located in Florida, and you and we consent to their personal jurisdiction. This does not remove protections that the law where you live gives you and that cannot be waived by contract.

27Export controls and sanctions

In shortYou cannot use Omega if US sanctions bar you, or from a sanctioned place, and you cannot hide your location to get around that.

The Services are subject to US export control and sanctions laws, including those administered by the Office of Foreign Assets Control (OFAC). You confirm that you are not located in, organized in or ordinarily resident in any country or region subject to comprehensive US sanctions, and that you are not on, or owned or controlled by anyone on, any US government list of prohibited or restricted parties. You will not export, re-export or provide access to the Services in breach of those laws, or use a VPN, proxy or other means to hide your location to get around them. We may screen users, transactions and wallet addresses, and block access, transactions or wallet addresses, to comply with them.

28Suspension and termination

In shortYou can leave anytime. We can suspend or end access if you break these terms or to protect the Services. Some terms last after you leave.

  • You. You can stop using the Services at any time, cancel a subscription (Section 8) and ask us to close your account by emailing legal@otrml.com.
  • Us. We may suspend or end your access, in whole or in part, if you break these Terms, if your account is not paid, if required by law or by a provider, or if we reasonably believe it is needed to protect you, other users, the Services, a provider or the markets. We may also restrict features or pause activity while we look into suspected fraud, a security incident, market abuse or a breach of these Terms. Where reasonable and lawful, we will tell you first.
  • Refund if we end it without cause. If we end your paid subscription without cause, or discontinue a paid Service, we refund the unused part of your prepaid period.
  • What happens. When access ends, your licence ends, and we stop syncing data and running strategies for your account. Orders and positions at your broker are not affected (Section 9). Before you leave, you can ask for a copy of your data as described in the Privacy Policy. After that, we delete or keep your data as the Privacy Policy describes.
  • What survives. Sections 4 to 6, 7 (responsibility for activity under your account), 9 and 10 (responsibility for orders and strategies), 11 (data restrictions and status), 13 (finality of transactions and their risks), 15 (licences already granted and feedback), 17, 19 (including the release), 22 to 27, this Section and Section 31 survive, together with any payment obligation.

29Changes

In shortWe may update these terms. For big changes, we tell you before they take effect.

We may change these Terms. We will post the new version with a new effective date. For material changes, we will tell you at least 30 days before they take effect, by email or in the Software, unless a change is required by law or concerns a new feature, in which case it may take effect sooner. Changes do not apply retroactively. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services and cancel your subscription. If two versions of these Terms conflict, the latest version you accepted controls, except as Section 25 says for Disputes already noticed.

30Electronic communications

In shortWe will contact you electronically, and that counts as being in writing.

You agree to receive agreements, notices, disclosures and other communications from us electronically, by email to your account address or in the Software, and that they satisfy any requirement that they be in writing. To receive them you need a device with internet access, a current web browser and an email account. Keep your email address current. You can ask for a paper copy of any notice by emailing us, and you can withdraw your consent to electronic communications by closing your account. Notices to us must be sent to legal@otrml.com. If you give us a phone number for order approvals or security, you agree that we may send text messages to it for those purposes. How many depends on your strategies' activity. Message and data rates may apply. You can turn text messages off in your settings, but some features, such as approval by text, will not work without them.

31General terms

In shortThe usual legal fine print about how these terms work as a whole.

  • Entire agreement. These Terms, the Privacy Policy and any additional terms we show you for a feature are the entire agreement between you and us about the Services.
  • Assignment. You may not assign or transfer these Terms without our written consent, and any attempt to do so is void. We may assign them, including in a merger, acquisition, reorganization or sale of assets.
  • Severability. If any part of these Terms is found unenforceable, it will be enforced as far as possible and the rest stays in effect, except as Section 25 says for the class action waiver.
  • No waiver. Our failure to enforce a part of these Terms is not a waiver of our right to do so later.
  • Relationship. These Terms create no partnership, joint venture, agency, employment or fiduciary relationship.
  • Third parties. No one other than you and us has rights under these Terms, except the people protected by Sections 23 and 24 and data providers under Section 11.
  • Legal compliance. A promise in these Terms to follow a law or rule does not give you a right to sue us that the law or rule does not itself give you.
  • Interpretation. Headings are for convenience only. "Including" means "including without limitation". If these Terms are translated, the English version controls.
